By using this website, or accessing the TLW Client Portal, you agree to these terms. If you do not agree, please do not use this website or the Portal.
2. Scope — Website, Portal & Engagement
These terms are layered, and different parts of your relationship with us are governed by different documents:
- These Terms of Service govern your use of this public website and, where applicable, the Client Portal itself
- If you become a client, the professional services we actually provide — their scope, fees, and deliverables — are governed by your signed engagement letter with us, not by this page
Where there's a conflict between the two, your engagement letter controls the scope, fees, and delivery of services; these terms control your use of the website and Portal as a piece of software.
3. No Professional Advice
Content on this website, including blog articles, is provided for general informational purposes only and does not constitute personalized accounting, tax, legal, insurance, or financial advice. Nothing on this website, and no interaction with our AI-assisted tools, creates an advisor-client relationship — that relationship begins only once you've engaged us through a signed engagement letter. Your specific situation should be reviewed with our advisory team, or another qualified professional, before you act on any information found on this site.
4. Client Portal Access & Accounts
Once you're an engaged client, we'll provide you access to the Client Portal. When using it, you agree to:
- Keep your login credentials confidential and not share your account with anyone else
- Notify us promptly if you suspect unauthorized access to your account
- Provide accurate, current information when asked
We may suspend or terminate Portal access for suspected misuse, non-payment, or at the end of your engagement with us, as described in Section 11.
5. Acceptable Use
You agree to use this website and the Client Portal only for lawful purposes, and not to:
- Upload content that is unlawful, infringing, or that you don't have the right to share
- Attempt to access another client's data, account, or documents
- Interfere with, disrupt, or attempt to bypass the security of the website, Portal, our AI-assisted tools, or our automations
- Scrape, reverse engineer, or use automated means to access the website or Portal beyond normal browsing
- Restrict or inhibit any other person's use and enjoyment of the website
6. AI-Assisted Tools
Where we use AI-assisted tools — for example, to help extract data from a document you've uploaded — that use is described in detail in our Privacy Policy. In terms of how it affects you as a user of our services:
- AI-assisted extraction is a data-entry aid only. It is not itself accounting, tax, insurance, or financial advice, and it does not replace the professional judgment of your advisor
- Every AI-assisted extraction is reviewed by a member of our team before it's applied to your file — it is never applied automatically
- If you notice something in your file that looks incorrect, please flag it to your advisor so it can be corrected
7. Electronic Signatures & Communications
By using our services, you consent to receive documents, notices, and communications from us electronically, including through our e-signature system and the Client Portal, in place of paper. Electronic signatures collected through our e-signature system are intended to be legally binding to the same extent as a handwritten signature, to the extent permitted under applicable Canadian electronic commerce legislation. If a specific transaction requires a different form of signature or certification, we'll let you know before it's needed.
8. Fees, Invoicing & Payment
Fees for our professional services are set out in your engagement letter or an agreed fee schedule, not on this website. Invoices are payable according to the terms stated on the invoice itself. Late payment may result in suspension of services or Client Portal access. Where we offer an installment or payment-plan arrangement, it is subject to the specific terms presented to you at the time.
9. Intellectual Property
All content on this website — including text, graphics, logos, and images — is the property of TLW Professional Services Inc. or its licensors and may not be reproduced without permission.
10. Third-Party Links & Integrated Services
This website may contain links to third-party websites, and the Client Portal may let you optionally connect third-party services you choose — for example, a calendar or accounting platform. We are not responsible for the content, availability, or privacy practices of any linked or connected third-party service; your use of it is governed by that provider's own terms.
11. Termination
We may suspend or terminate your access to the Client Portal for breach of these terms, non-payment, suspected misuse, or at the end of your engagement with us. Sections of these terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — continue to apply after termination.
12. Disclaimers & Limitation of Liability
This website, the Client Portal, our e-signature system, and our AI-assisted tools are provided on an "as is" and "as available" basis. We do not guarantee that they will be uninterrupted, error-free, or available at all times. To the fullest extent permitted by law, TLW Professional Services Inc. is not liable for any indirect, incidental, or consequential damages arising from your use of, or inability to use, this website or the Client Portal.
Nothing in this section limits liability that cannot be limited under applicable law, and nothing here limits our responsibility for the professional services we've engaged to provide you — that responsibility is instead governed by your engagement letter and our professional liability coverage.
13. Indemnification
You agree to indemnify and hold TLW Professional Services Inc. harmless from any claims, losses, or expenses arising from your misuse of this website or the Client Portal, or your violation of these terms.
14. Governing Law
These terms are governed by the applicable laws of Canada and the province in which TLW Professional Services Inc. operates.
15. Changes to These Terms
We may update these terms from time to time. The "last updated" date above reflects the most recent revision.
